Welcome to Tingley House LLC ("Tingley House," "we," "us," or "our"). These Terms and Conditions ("Terms") govern your access to and use of our website at tingleyhouse.com (the "Site"), including our Prompt Lab tool and any related services (collectively, the "Services").

BY ACCESSING OR USING OUR SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, YOU MAY NOT USE OUR SERVICES.

1. ACCEPTANCE OF TERMS

By creating an account, subscribing to our Pro version, or using any part of our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

2. ELIGIBILITY

You must be at least 18 years old to use our Services. By using our Services, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms.

3. DESCRIPTION OF SERVICES

3.1 Free Version

Our Prompt Lab tool offers a free version that allows you to generate AI prompts for lifestyle and merchandise-ready images. The free version includes:

- Basic prompt generation features

- Local browser storage for up to 25 saved prompts

- Quick copy functionality for popular AI platforms

3.2 Pro Version

Our Pro subscription ($29/month) unlocks additional features, which may include (but are not limited to):

- Upload your product designs for AI model integration

- Video prompt generation for social media content

- 50+ preset templates for various content types

- Style transfer from reference images

- Batch export capabilities

- Unlimited prompt saves and cloud storage

We reserve the right to modify, add, or remove Pro features at any time with or without notice.

4. USER ACCOUNTS

4.1 Account Creation

To access Pro features, you must create an account by providing accurate and complete information, including your name, email address, and payment details.

4.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

- Use a strong, unique password

- Notify us immediately of any unauthorized use of your account

- Not share your account credentials with others

4.3 Account Termination

We reserve the right to suspend or terminate your account at any time for violating these Terms or engaging in fraudulent, abusive, or illegal activity.

5. SUBSCRIPTION AND PAYMENT TERMS

5.1 Pro Subscription

The Pro subscription is billed monthly at $29/month. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel your subscription.

5.2 Payment Processing

Payments are processed securely through GoDaddy's commerce solutions and third-party payment processors (including but not limited to Klarna and other supported methods). You agree to provide accurate and current payment information.

5.3 Cancellation Policy

YOU MAY CANCEL YOUR PRO SUBSCRIPTION AT ANY TIME. Upon cancellation:

- Your subscription will remain active until the end of your current billing period

- You will not be charged for subsequent billing periods

- NO REFUNDS WILL BE ISSUED FOR PARTIAL MONTHS OR UNUSED TIME

- You will lose access to Pro features at the end of your billing period

5.4 No Refunds

ALL PAYMENTS ARE NON-REFUNDABLE. We do not provide refunds or credits for partial subscription periods, unused features, or dissatisfaction with the Services. By subscribing, you acknowledge and agree to this no-refund policy.

5.5 Price Changes

We reserve the right to change our subscription pricing at any time. If we increase the price of your subscription, we will notify you at least 30 days in advance. The new price will apply to your next billing cycle after the notice period.

6. USER RESPONSIBILITIES

6.1 Your Content

You are solely responsible for:

- Any images, text, or other content you upload or use with our Services

- All prompts you generate using our Prompt Lab tool

- All outputs created using third-party AI platforms based on our prompts

- Ensuring you have the legal right to use any images, designs, or content you upload

6.2 Image Uploads

YOU ASSUME ALL RESPONSIBILITY FOR IMAGES YOU UPLOAD TO OUR SERVICES. You represent and warrant that:

- You own or have the necessary rights to use any images you upload

- Your uploads do not infringe on any third-party intellectual property rights

- Your uploads do not contain illegal, harmful, or offensive content

Currently, we do not store uploaded images on our servers. However, if this changes in the future, you grant us a non-exclusive, royalty-free license to store and process your images solely for the purpose of providing our Services.

6.3 Third-Party AI Platforms

OUR SERVICES GENERATE PROMPTS FOR USE WITH THIRD-PARTY AI PLATFORMS (e.g., Midjourney, DALL-E, Leonardo AI, Stable Diffusion). WE DO NOT CONTROL THESE PLATFORMS AND ARE NOT RESPONSIBLE FOR:

- The quality, accuracy, or legality of outputs generated by these platforms

- Any costs, fees, or subscriptions required by these platforms

- The privacy practices or terms of service of these platforms

- Any violations of intellectual property or other rights resulting from AI-generated content

Your use of third-party AI platforms is subject to their respective terms of service and privacy policies. You are solely responsible for complying with those terms.

6.4 Prohibited Uses

You agree NOT to use our Services to:

- Generate prompts or content that is illegal, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable

- Infringe on the intellectual property rights of others

- Impersonate any person or entity or misrepresent your affiliation with any person or entity

- Interfere with or disrupt our Services or servers

- Attempt to gain unauthorized access to any part of our Services

- Use automated scripts, bots, or other tools to scrape or extract data from our Services

- Resell, redistribute, or commercialize our Services without our written permission

7. INTELLECTUAL PROPERTY

7.1 Our Intellectual Property

All content, features, and functionality of our Services, including but not limited to text, graphics, logos, software, and design, are owned by Tingley House LLC and are protected by copyright, trademark, and other intellectual property laws.

7.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for personal or commercial use in accordance with these Terms. This license does not include the right to:

- Copy, modify, or distribute our Services

- Reverse engineer or attempt to extract the source code of our Services

- Remove or alter any copyright, trademark, or other proprietary notices

7.3 User-Generated Prompts

You retain ownership of any prompts you create using our Services. However, by using our Services, you grant us a worldwide, royalty-free license to use, reproduce, and display your prompts for the purpose of providing, improving, and promoting our Services.

8. DISCLAIMERS

8.1 No Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that:

- Our Services will meet your requirements or expectations

- Our Services will be uninterrupted, timely, secure, or error-free

- The results obtained from using our Services will be accurate or reliable

- Any errors in our Services will be corrected

8.2 AI-Generated Content

WE MAKE NO REPRESENTATIONS OR WARRANTIES REGARDING THE QUALITY, ACCURACY, LEGALITY, OR APPROPRIATENESS OF ANY CONTENT GENERATED USING OUR PROMPTS WITH THIRD-PARTY AI PLATFORMS. You are solely responsible for reviewing and verifying any AI-generated outputs before using them.

9. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TINGLEY HOUSE LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF OUR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so some of the above limitations may not apply to you.

10. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Tingley House LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:

- Your use of our Services

- Your violation of these Terms

- Your violation of any third-party rights, including intellectual property rights

- Any content you upload, create, or share using our Services

- Any outputs generated using third-party AI platforms based on our prompts

11. MODIFICATIONS TO SERVICES AND TERMS

11.1 Changes to Services

We reserve the right to modify, suspend, or discontinue any part of our Services at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of our Services.

11.2 Changes to Terms

We may update these Terms from time to time. When we make changes, we will update the "Last Updated" date at the top of this page. Material changes will be communicated via email (if you have provided one) or through a prominent notice on our Site.

Your continued use of our Services after any changes to these Terms constitutes your acceptance of the new Terms.

12. GOVERNING LAW AND DISPUTE RESOLUTION

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, United States, without regard to its conflict of law principles.

12.2 Dispute Resolution

Any dispute arising out of or relating to these Terms or our Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in Georgia. You waive your right to participate in a class action lawsuit or class-wide arbitration.

12.3 Exceptions

Notwithstanding the above, either party may seek injunctive relief in any court of competent jurisdiction to prevent irreparable harm.

13. SEVERABILITY

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

14. ENTIRE AGREEMENT

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Tingley House LLC regarding your use of our Services and supersede any prior agreements or understandings.
